House of Hèbeauty (HOH) Affiliate Marketing Program Terms and Conditions

1. Introduction and Acceptance

These Affiliate Marketing Program Terms and Conditions ("Terms") constitute a legally binding agreement between House of Hèbeauty ("HOH", "we", "us") and you, the Affiliate ("you", "Affiliate"). By participating in the HOH Affiliate Marketing Program (the "Program"), you agree to comply fully with these Terms.

 

2. Enrolment and Approval

2.1. Participation in the Program requires registration and approval by HOH at its sole discretion.

2.2. HOH reserves the right to refuse or terminate participation for any reason, at any time, without prior notice.

 

3. Affiliate Obligations

3.1. Affiliates must accurately represent HOH's products and services and shall not mislead or make false claims regarding the features, quality, or effectiveness of HOH products.

3.2. Affiliates shall comply with all applicable laws, including UAE law and international intellectual property rights.

3.3. Affiliates must disclose their affiliate relationship clearly and conspicuously in accordance with applicable laws, regulations, and industry best practices.

3.4. Use of spam, unethical marketing practices, or any methods harmful to HOH's reputation is strictly prohibited and grounds for immediate termination.

 

4. Commissions and Payments

4.1. Affiliates earn commissions based on qualified purchases made through their unique affiliate links or codes.

4.2. Commissions shall be calculated based on the net sale price (excluding shipping fees, taxes, discounts, returns, and cancellations).

4.3. Payment schedules and methods will be defined by HOH. HOH reserves the right to withhold payments pending verification of compliance with these Terms.

4.4. HOH retains the right to modify commission rates and payment terms with prior written notice.

 

5. Proprietary Rights

5.1. HOH owns all rights, title, and interest in its trademarks, logos, branding, intellectual property, and promotional materials provided to Affiliates.

5.2. Affiliates are granted a limited, non-exclusive, revocable license to use HOH's intellectual property solely to promote HOH products as part of the Program. This license terminates immediately upon cessation or termination of your participation.

5.3. HOH retains the perpetual, irrevocable, royalty-free right to use, distribute, sublicense, display, and reproduce any content (photos, videos, testimonials, etc.) created by Affiliates or third parties that feature or include HOH products.

 

6. Confidentiality

6.1. Affiliates must keep all HOH confidential information strictly confidential and shall not disclose or use such information for any purpose other than the Program without HOH's express written consent.

6.2. Confidential information includes business strategies, customer data, pricing, marketing materials, and any information marked as confidential or that reasonably should be understood as confidential.

 

7. Termination

7.1. Either party may terminate participation at any time by providing written notice.

7.2. HOH reserves the right to terminate immediately and without notice if the Affiliate breaches any provision of these Terms.

7.3. Upon termination, Affiliates must immediately cease all promotional activities and, if requested in writing by HOH, to remove all HOH related materials from their channels.

 

8. Limitation of Liability and Indemnification

8.1. HOH shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to participation in the Program.

8.2. Affiliates agree to indemnify, defend, and hold harmless HOH, its officers, directors, employees, and agents from any claims, damages, losses, or liabilities arising from or related to their activities under the Program, including violation of these Terms or applicable laws.

 

9. Governing Law and Dispute Resolution

9.1. These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and specifically the Emirate of Dubai.

9.2. Any dispute arising from these Terms shall be exclusively subject to the jurisdiction of the competent courts in Dubai, UAE.

 

10. Amendments

10.1. HOH reserves the right to amend these Terms at any time by posting updated Terms. Affiliates will be notified of significant changes. Continued participation following amendments constitutes acceptance of the revised Terms.

 

11. Miscellaneous

11.1. These Terms represent the entire agreement regarding the Program.

11.2. Failure by HOH to enforce any provision shall not constitute a waiver of its rights.

11.3. If any provision is deemed invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
